These Terms of Use (the “Terms”) constitutes a legal agreement between you (the “User”, sometimes referred to as “you” and “your”) and Soundboard Strategy (“Soundboard Strategy,” “we,” “us,” or “our”) governing your access to and use of the Soundboard Strategy LLC website located at soundboardstrategy.com (the “Site”).

Soundboard Strategy and User are sometimes individually referred to as a “Party” and collectively as the “Parties.”

Acceptance of Terms

By accessing or using the Site, you signify that you have read, understood, and agree to be bound by the Terms.

By accessing or using the Site, you confirm that you are at least 18 years of age. IF YOU ARE YOUNGER THAN 18 YEARS OF AGE, DO NOT USE THE SITE FOR ANY PURPOSE.

No Client Relationship

Access to or use of the Site does not create an advisory, consulting, or client relationship between you and Soundboard Strategy. No such relationship is established unless and until both parties have executed a written engagement agreement.

Submitting a contact form, sending an inquiry, or otherwise communicating with Soundboard Strategy through the Site does not constitute an engagement and does not create any obligation on the part of Soundboard Strategy to provide services or advice. Soundboard Strategy reserves the right to decline any inquiry in its sole discretion.

Informational Purpose Only

All content on the Site — including service descriptions, methodology overviews, industry commentary, and any other materials — is provided for general informational purposes only. Nothing on the Site constitutes professional advisory, legal, financial, or strategic advice, and should not be relied upon as such.

Any information presented by Soundboard Strategy is intended to be generally applicable and is provided “as-is.” Soundboard Strategy makes no representations or warranties that the information on the Site is accurate, complete, current, or suitable for any particular purpose. You assume full responsibility for any decisions made based on the Site content.

Information provided through the Site may only be used for the intended purposes of the Terms and may not be used to create your own materials, workshops, or to offer advisory services to third parties.

Intellectual Property

All content on the Site — including but not limited to text, frameworks, methodologies, service descriptions, graphics, logos, design elements, and the overall look and feel — is the exclusive property of Soundboard Strategy LLC and is protected by applicable copyright, trademark, and intellectual property laws, (collectively “Intellectual Property”).

You may not reproduce, distribute, modify, publicly display, create derivative works from, or otherwise use any content from the Site without the prior written consent of Soundboard Strategy. Unauthorized use of the Site content may give rise to a claim for damages and may constitute a criminal offense. You agree not to reproduce or distribute Intellectual Property in any way, including electronically or via registration of any new trademarks, trade names, service marks, or Uniform Resource Locators (URLs), without the prior written consent of Soundboard Strategy.

The Soundboard Strategy name, logo, and all associated marks are proprietary to Soundboard Strategy LLC. Nothing on the Site grants any license or right to use any mark without prior written permission.

Acceptable Use

You agree to use the Site for purposes expressly permitted by the Terms. You represent and warrant that you will not use the Site for any purpose that is unlawful, offensive, or prohibited by the Terms. You agree not to use the Site in any way that could damage the Site or general business of Soundboard Strategy. You further agree not to:

  • Reproduce, scrape, copy, or systematically extract content from the Site by any means.
  • Use the Site or its content to develop competing products, services, or platforms.
  • Misrepresent any affiliation or relationship with Soundboard Strategy.
  • Transmit any material that is unlawful, harmful, defamatory, or otherwise objectionable.
  • Attempt to gain unauthorized access to any portion of the Site or its underlying systems.
  • Interfere with the proper operation or security of the Site.
  • Use the Site for any commercial solicitation without Soundboard Strategy’s prior written consent.
  • Violate any intellectual property rights of Soundboard Strategy or any third party.
  • Perpetrate any fraud or engage in any unlawful gambling, sweepstakes, or pyramid scheme.
  • Make available or distribute any obscene, defamatory, or otherwise objectionable material.

Disclaimer of Warranties

The Site and all content are provided on an “as is” and “as available” basis, without warranty of any kind, express or implied. To the fullest extent permitted by applicable law, Soundboard Strategy expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Soundboard Strategy does not warrant that the Site will be uninterrupted, error-free, free of viruses or other harmful components, or that any information on the Site is reliable or accurate. You assume full responsibility for your use of the Site.

Limitation of Liability

To the fullest extent permitted by applicable law, Soundboard Strategy LLC, its affiliates, principals, members, employees, and agents shall not be liable for any indirect, incidental, special, statutory, consequential, exemplary, or punitive damages arising out of or related to your use of — or inability to use — the Site or its content, even if Soundboard Strategy has been advised of the possibility of such damages.

In no event shall Soundboard Strategy’s total liability to you for any claims arising from your use of the Site exceed one hundred dollars ($100.00).

No action shall be brought for any claim relating to or arising out of the Terms more than one year after the accrual of such cause of action.

Indemnification

You agree to defend, indemnify, and hold harmless Soundboard Strategy LLC and any of its affiliates, principals, members, employees, and agents against any and all legal claims and demands, including reasonable attorneys’ fees, which may arise from or relate to your use or misuse of the Site, your breach of the Terms, or your conduct or actions. You further agree that money damages may not be sufficient remedy for any breach of the Terms, and that in addition to all other remedies, Soundboard Strategy shall be entitled to injunctive or other equitable relief as a remedy for such breach.

THIS SECTION STATES THE ENTIRE OBLIGATION AND THE EXCLUSIVE REMEDIES WITH RESPECT TO THE PARTIES’ INDEMNIFICATION OBLIGATIONS PURSUANT TO THE TERMS.

Third-Party Links

The Site may contain links to third-party websites, advertisers, or resources. Such links are provided for convenience only and do not constitute an endorsement of, or affiliation with, those sites or their content. Soundboard Strategy has no control over and assumes no responsibility for the content, privacy practices, or availability of any third-party sites.

Your use of any linked third-party site is at your own risk and subject to that site’s own terms and policies. You agree that Soundboard Strategy is not responsible or liable for any loss or damage caused as a result of your use of any third-party services linked on the Site.

Confidentiality of Submissions

Any information, materials, or ideas you voluntarily submit through the Site — including via contact forms or email — will not be treated as confidential or proprietary unless a formal written confidentiality agreement has been executed between you and Soundboard Strategy prior to submission.

Do not submit any information through the Site that you consider sensitive, proprietary, or confidential without first establishing a written confidentiality agreement with Soundboard Strategy.

Service Interruptions

Soundboard Strategy may need to interrupt your access to the Site to perform maintenance or emergency services on a scheduled or unscheduled basis. You agree that your access to the Site may be affected by unanticipated or unscheduled downtime, for any reason, and that Soundboard Strategy shall have no liability for any damage or loss caused as a result of such downtime.

Governing Law & Jurisdiction

The Terms shall be governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law provisions. Any dispute arising out of or relating to the Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in King County, Washington. You consent to personal jurisdiction in such courts and waive any objection that such courts constitute an inconvenient forum.

Changes to These Terms

Soundboard Strategy reserves the right to update or modify the Terms at any time without prior notice. Changes will be effective upon posting to this page with a revised effective date. It is your responsibility to review the Terms periodically. Your continued use of the Site after any changes are posted constitutes your acceptance of the updated Terms.

To the extent any part or sub-part of the Terms is held ineffective or invalid by any court of law, the prior, effective version of the Terms shall be considered enforceable and valid to the fullest extent possible.
